Mr. Woessner, whose legal training is in the areas of mergers and acquisitions and US securities laws, and former Senior Counsel to the Financial Services Committee of the US House of Representatives, was General Counsel of two Dallas-based smaller-cap technology NASDAQ companies for 17 years.
Because of this experience there is virtually no legal agreement or legal situation that he has not encountered and dealt with in the past. He will bring this experience and knowledge to you and your company. His experience includes:
- Helping smaller-cap issuers raise approximately $120M in capital from Main Street and Wall Street investors through both private placements and public offerings.
- Knowing how to speak the “lingo” of professional investors because of his capital raising experience and having raised >$12.4M as CEO for a public company whose annual revenues were <$6.2M.
- Drafting and negotiating hundreds of SaaS subscription and other legal agreements, vendor agreements, RFP responses, prime contracts, M&A agreements, content licenses, software and technology licenses, NDAs, real estate leases, change orders, subcontracts, and teaming agreements; and SEC filings, in all cases, with a strong attention to detail to mitigate legal risk and to create the best (attainable) legal and business outcome for the client.
- Excellent negotiation skills from having studied the art and science of negotiation and from having negotiated hundreds of routine agreements and more than 100 major corporate transactions as an investor, attorney, or business principal, including more than $120M in public and private debt and equity financings, M&A transactions, and joint ventures in the US, Canada, China, and France.
- Up-listing an OTC Markets issuer to NASDAQ (one of fewer than 300 CEOs to accomplish that since 2015).
- Operating a smaller-cap NASDAQ issuer in the currently inhospitable public company ecosphere characterized by stock illiquidity, little investment analyst coverage, few market makers, few institutional investors, toxic capital, short-seller bear raids, message board attacks, declining stock prices, and SEC & FINRA inquiries.
- Filing hundreds of periodic SEC reports; drafting over 100 investor releases and dozens of investor conference call scripts.
- Resolving nearly a dozen major litigation matters, including shareholder class action lawsuits, employment litigation lawsuits, commercial business lawsuits, and patent infringement suits.
- Woessner has been CEO of a SaaS start-up so he brings business experience and wisdom to his legal advice.
- Woessner is also among a small percentage of attorneys that knows how to read financial statements.
