Ron Woessner, former Senior Counsel to the Financial Services Committee of the US House of Representatives and former General Counsel of two Dallas-based smaller-cap technology NASDAQ companies and CEO of a smaller-cap Dallas-based SaaS NASDAQ company, has assisted issuers in raising approximately $120M in capital from Main Street and Wall Street investors.   • Helping smaller-cap issuers raise approximately $120M in capital from Main Street and Wall Street investors. Personally raising >$12.4M as CEO for a public company issuer whose annual revenues were <$6.2M.
  • During eight years as a transactional private practice attorney and 17 years as General Counsel, drafted and negotiated hundreds of SaaS subscription and other legal agreements, vendor agreements, RFP responses, prime contracts, M&A agreements, content licenses, software and technology licenses, NDAs, real estate leases, change orders, subcontracts, and teaming agreements; and SEC filings, in all cases, with a strong attention to detail to mitigate legal risk and to create the best (attainable) legal and business outcome for the client.
  • Excellent negotiation skills from having studied the art and science of negotiation and from having negotiated hundreds of routine agreements and more than 100 major corporate transactions as an investor, attorney or business principal, including more than $120M in public and private debt and equity financings, M&A transactions, and joint ventures in the US, Canada, China, and France; resolved nearly a dozen major litigation matters, including patent infringement cases and shareholder class action claims.
  • Up-listing an OTC Markets issuer to NASDAQ (one of fewer than 300 CEOs to accomplish that since 2015).
  • Operating a smaller-cap NASDAQ issuer in the currently inhospitable public company ecosphere characterized by stock illiquidity, little investment analyst coverage, few market makers, few institutional investors, toxic capital, short-seller bear raids, message board attacks, declining stock prices, and SEC & FINRA inquiries.
  • Filing hundreds of periodic SEC reports; drafting over 100 investor releases and dozens of investor conference call scripts.
